ONLINE AUCTION TERMS<\/u> (Greek version follows\u00a0below<\/u><\/a>)<\/span><\/p>

1. INTRODUCTION<\/u><\/p>

The auction is governed by the terms described below. These refer to all aspects of the relationship between ‘Peter’s Gallery’ and prospective bidders, sellers and buyers. All auction participants, including bidders and those entrusting works of art, must carefully read the following terms. Participation in the auction signifies unconditional acceptance of these terms in their entirety.<\/p>

The seller has authorised ‘Peter’s Gallery’ to sell the work, acting as an agent and on their behalf, during the auction, and ‘Peter’s Gallery’ has agreed to act in the best interests of the seller, as the authorised Auctioneer, to sell the work at the highest possible price, which will be determined during the auction by a bidder. The Auctioneer does not act for buyers or bidders.<\/p>

2. TERMS<\/u><\/p>

“Auctioneer” is the person conducting the sale on behalf of “Peter’s Gallery”.<\/p>

“Bidder” is any person, who bids, in the manner described in these terms.<\/p>

“Buyer” is any person who makes the best offer, which is accepted by the Auctioneer.<\/p>

“Buyer’s Premium” is the commission paid by the buyer on top of the hammer price, as defined in these terms.<\/p>

“Forgery” is the imitation of an authentic work.<\/p>

“Work” is works of art.<\/p>

\u201cHammer Price” is the highest bid accepted by the Auctioneer at the fall of the hammer.<\/p>

“Purchase price” is the total purchase price, plus the applicable buyer’s premium, plus VAT.<\/p>

\u201cStarting Price\u201d is the minimum bid \/ hammer price at which the seller authorises the Auctioneer to offer the work at auction.<\/p>

“Seller” is the person who offers a work for sale at auction.<\/p>

“Peter’s Gallery” means the company Peter’s Gallery (Peter and Keti Enterprises Ltd), which has its registered office in Limassol, Cyprus.<\/p>

3. PRIOR TO THE AUCTION<\/u><\/p>

3.1 Catalogue:<\/p>

The list of works before each online auction will be posted on the link https:\/\/petersgallery.com.cy. For more information please call +357 25 384804<\/b>.<\/p>

3.2 Clarifications:<\/p>

Buyers are hereby informed that the works are sold to the buyer “as is”, with all faults and imperfections. Photographs of any works included in the online catalogue or elsewhere are for identification purposes only. They may not reflect the actual condition of the work and may not render an accurate reproduction of the colours. The company bears no responsibility for any inaccuracies, related to information, listed in the catalogues for each work, since it is displayed for guidance only.\u00a0The Auctioneer, also known as “Peter’s Gallery”, is not liable for any actual defects or damages to any of the works of art. Therefore, all potential bidders are strongly advised to inspect any artwork they are interested in bidding on, either in person or through a professional, during the public preview period prior to the auction. By placing the highest bid in the auction, bidders automatically confirm that they or their representative have examined the artwork and are fully satisfied with its condition.<\/p>

4. AUCTION<\/u><\/p>

4.1 How to bid when participating at auction:<\/p>

During the online auction, and before the start of the online process, bidders must complete a registration form, filling in the necessary information, as requested by “Peter’s Gallery”. The system will automatically grant a registration name (username) and send a link to set a password to each interested bidder, so that in each auction it will be required to login using these credentials that will always be connected to each specific bidder. All works for sale will be registered to each Buyer’s name and address, exactly as they\u00a0 registered on the above application, and cannot be transferred to other names and addresses.<\/p>

4.2 Conducting the auction and bids:<\/p>

Our auctions are online and public, in which anyone can participate. However, we reserve the right, at our discretion, to refuse the acceptance or participation of anyone in any auction, without the need to state the reason for such refusal.<\/p>

All works are offered at a minimum starting price, which cannot be less than the stated starting price, which is printed in the auction catalogue.<\/p>

In the event that “Peter’s Gallery” has received two (2) equal bids for the same work in the manner in which the auction is carried out in the system, the work is awarded to the bidder\u2019s offer that the system has registered as the first offer.<\/p>

In the event that “Peter’s Gallery” has received a maximum bid it will be executed by the “Peter\u2019s Gallery” online system at the lowest price possible, and never for more than the maximum bid amount you indicate. Please note that if two bidders enter the same maximum bid, the bid which was entered first will have priority. The bidding platform will automatically place incremental bids on your behalf against any competition up to the maximum bid you have placed. The bidding platform will execute bids beginning at the lowest increment. If your maximum bid is outbid by another client, you will be alerted on Petersgallery.com.cy if you are logged in, via email for a chance to increase your bid. While you can always return to the auction and increase your bid by single increments, we encourage you to take advantage of the maximum bid feature in the event you may be unable to return to your desired lot when the auction begins. Also, if Bidder 1 has set a specific maximum bid and then if Bidder 2 comes and places the same maximum bid, then the platform will show an alert message to Bidder 2 and will place the bid on behalf of Bidder 1 of the same amount as their maximum bid.\u00a0<\/p>

For example: Bidder 1 places a maximum bid of \u20ac350 and Bidder 2 places the same maximum bid, then Bidder 2 will get an alert message saying \u201cYour bid matches with maximum bid of a user. The bid of this item has been updated. Please check the latest bid and bid again.\u201d The platform then places a bid on behalf of Bidder 1 with the amount of their maximum bid. Now, Bidder 2 will have to check the available bid price mentioned under the price-box and try bidding again.\u00a0Watch the short video<\/u><\/a>\u00a0on how to bid online at Petersgallery.com.cy<\/p>

An end time is displayed for each Lot at Lot level. Lots will close at the time stated at Lot level unless a bid is placed within 5 minute of a Lot\u2019s scheduled end time. If this occurs, \u201cPeter\u2019s Gallery\u201d will extend the sale of that Lot by 5 minutes from the time of the last bid. The extension of any Lot\u2019s closing time does not affect the closing time of the other Lots, therefore, it is possible that Lots will close out of the announced auction ending time. Upon the closing of each Lot, you will receive another email notification indicating whether you have won each Lot on which you have placed a bid.<\/p>

4.3 Absentee bidding options:<\/p>

Written offers: If you can’t take part in the auction, submit written offers using the form in the catalogue at least 24 hours in advance. This free, confidential service priorities the earliest identical offer. You can retract absentee bid up to two (2) hours before the auction begins, after which point your bid amount is locked. Successful bidders will receive purchase and payment details.<\/span><\/p>

Telephone bidding: Make arrangements 72 hours before the auction to bid by phone. Confirm your maximum bid in case we can’t reach you during the auction.\u00a0Watch a short video on how to submit an absentee bid here<\/a><\/span>.<\/span><\/p>

Peter’s Gallery reserves the right to refuse any bid, withdraw any work from sale, or reinstate a work for sale, even after the auction has concluded, if it believes there may be an error or dispute. The agreement between the seller and the buyer will automatically terminate at the close of the auction or upon the expiration of the additional extension time as described above, at which point the buyer will be liable for payment of the purchase price.<\/p>

5. DISCOVER WHAT YOUR PROPERTY IS WORTH<\/u><\/p>

You can also submit your items\u00a0here<\/u><\/a>\u00a0and provide information and photographs of your property. In some cases, we will contact you to arrange an appointment to gather further details. You may also make an appointment to bring your property to the gallery.<\/p>

If your proposed work is accepted for inclusion in one of our upcoming auctions, we will provide you with our estimated price range for works of this category. We will then agree with you on a starting price for the auction, which should not exceed the minimum estimate.<\/p>

Information about future auctions will be provided in announcements on social media, newsletters<\/a><\/span> and on our website.<\/p>

If a work of yours is included in an auction, then you will become a \u201cSeller\u201d and if such work is sold at auction, then you will be entitled to collect an amount equal to the hammer price, less a twelve percent (12%) percentage which corresponds to the commission paid by you, the seller, to \u201cPeter’s Gallery\u201d. We accept in good faith that the work you offer for sale is owned by you, the seller, and is free from any legal defect of a third party’s claim on it.<\/p>

If a work deposited by the seller is withdrawn prior to the auction, then the seller will be obligated to pay \u201cPeter’s Gallery\u201d an amount equal to twelve percent (12%) of the minimum estimate shown in the catalog.<\/p>

6. PURCHASE PRICE<\/u><\/p>

6.1 Purchase price:<\/p>

The person to whom the work is awarded to shall pay to \u201cPeter’s Gallery\u201d an amount equivalent to the purchase price, which shall be the total hammer price in the system for the work, plus the buyer’s premium, plus VAT over hammer price and buyer\u2019s premium in the system or plus VAT over the buyer\u2019s premium only, as described below.<\/p>

6.2 Buyer’s Premium:<\/p>

The amount above the hammer price that is paid as part of the total purchase price. In an Online Auction conducted by \u201cPeter\u2019s Gallery\u201d, the Buyer\u2019s Premium rate is as follows:\u00a0twelve percent (12%) of the Hammer Price of any amount.<\/p>

6.3 V.A.T.:<\/p>

Value Added Tax (VAT) now applies as follows: artworks are taxed at a reduced rate of five percent (5%) (\u2021 symbol) or nineteen percent (19%) (\u2020 symbol) on the hammer price, depending on the item. For items marked with the Omega symbol (\u03a9), the hammer price is exempt from VAT. A nineteen percent (19%) VAT applies to the Buyer’s Premium for all items, regardless of the symbol. See the symbols<\/a><\/span><\/span> (\u2020, \u2021, \u25c6, #, and \u03a9) under the Lot’s title for more information. Customs duty and any local clearance fees may still be applicable for your country. Please refer to the Auction Glossary<\/a><\/span> for further clarification on auction terms and symbols.<\/p>

7. PAYMENT<\/u><\/p>

After the online auction has ended, “Peter\u2019s Gallery” will contact the successful bidders to inform them and make arrangements for payment and delivery of the works. Payment is due within one (1) week of the sale and can be made using one of the following methods:<\/p>

Although personal and company checks are accepted, please be advised that works will not be delivered until the checks have been verified.<\/p>

8. PICK UP \/ DELIVERY OF ARTWORKS<\/u><\/p>

8.1 In-Person Pick Up:<\/p>

Your property will be available for in-person pick up as of the next day of the sale ending. Works are collected by you from our offices at your own expense, provided full and cleared payment has been received by us one (1) week from the day the auction took place.<\/p>

8.2 Delivery:<\/p>

Purchased works may be delivered upon instruction or request of the buyer and the cost will be borne by the buyer.<\/p>

8.3 Custody\/Storage Charges:<\/p>

Handling and storage charges, plus VAT, are charged one (1) week after the day of the auction.<\/p>

8.4 Transportation\/Packaging:<\/p>

It is at the discretion of “Peter’s Gallery” how to package the work purchased. In this case, the packaging is considered to have been done by order and on behalf of the buyer, who also bears the responsibility for any risk. In no case is “Peter’s Gallery” liable for damage to the frame or the glass of the work from any cause, regardless of how the damage was done. Also “Peter’s Gallery” is not responsible for acts or omissions of the carrier agreed by the buyer for the transport of the work.<\/p>

8.5 Security:<\/p>

Buyers should be aware that the insurance of the work terminates one (1) week after the day of the auction.<\/p>

9. NON-PAYMENT<\/u><\/p>

Without prejudice to any rights of the seller, if the buyer fails to pay for the work awarded to them within one (1) week of the day of the auction, then “Peter’s Gallery” may, at its discretion, follow one of the following procedures:<\/p>

To take legal action to recover full payment.<\/p>

To seek compensation for any indirect losses resulting from the aforementioned buyer’s default.<\/p>

To store the work on its premises or elsewhere at the buyer’s expense and responsibility.<\/p>

To cancel the sale of the project.<\/p>

To impose interest of the order of 5% above the base Euribor.<\/p>

To resell the work either by auction or private sale.<\/p>

10. AUCTIONEER’S ROLE AND LIMITATIONS OF LIABILITY<\/u><\/p>

10.1 “Peter’s Gallery” does not conduct an exhaustive inspection of each work and therefore its knowledge of each work is based on the information provided by the seller. Each work offered for sale is available for inspection by bidders prior to the auction. “Peter’s Gallery” will only accept bids on the basis that bidders have thoroughly inspected the works before submitting their bids. Bids will only be accepted on the condition that bidders have fully vetted the works and acknowledge the information provided in this passage.<\/p>

10.2 Bidders acknowledge this fact and accept the responsibility to conduct their own investigations and checks to ensure they are fully satisfied with the work before making a purchase.<\/p>

10.3 The estimates provided to bidders in relation to each work as they appear in the catalog are a statement of opinion given in good faith by “Peter’s Gallery” and do not create any liability for the Auctioneer or the company.<\/p>

10.4 “Peter’s Gallery” must refund the purchase price without interest of a work to the buyer if it is later proven inauthentic through internationally accepted methods of examination. The buyer can return the work under these conditions: (a) a written, justified request for return, (b) the request is made within two (2) years of delivery to the buyer, (c) the work has not been resold, (d) the work is in the same condition as when purchased, and (e) no mention of authenticity disputes exists in the catalogue description. Note: statements like “attributed to” or “from the workshop of” an artist do not constitute proof of inauthenticity. If, however, the Auctioneer has already paid the Seller, the Buyer’s only recourse for seeking the auction price is with the Seller. The Auctioneer must return to the Buyer, without interest, any fees collected in the meantime and provide the Buyer with the Seller’s name and address. The buyer’s claims against “Peter’s Gallery” or the seller are limited to the purchase price of the artwork. Neither “Peter’s Gallery” nor the seller are responsible for any claims of consequential damage.<\/p>

10.5 For artwork noted as originating from countries outside the European Union, the buyer must pay “Peter’s Gallery” the fees outlined in paragraph 6 of the auction terms and an additional nineteen percent (19%) VAT on the auction price.<\/p>

11. LAW AND JURISDICTION<\/u><\/p>

11.1 Law governing the relations of the parties:<\/p>

All present, the terms of the auction and all matters related to it, will be governed and interpreted based on Cypriot law.<\/span><\/p>

11.2 Jurisdiction:<\/p>

All bidders, buyers and sellers agree that the Courts of Cyprus shall have exclusive jurisdiction to adjudicate any dispute arising out of the auction, which is governed by these terms.<\/span><\/p>
